Terms of service

Effective: October 8, 2026

These terms are the agreement between you and SharpMD ("SharpMD", "we"), which is run by a company organized in Delaware, United States. By creating an account or using the hosted service you accept them. If you do not agree, do not use the hosted service.

1. What these terms cover

They cover the hosted service: the cloud account and its notes at sync.sharpmd.app, sharing, public links, live sessions, the connection for an AI (MCP), the API and the automations, the community gallery, the sites published at pages.sharpmd.app and the website at sharpmd.app.

They do not cover the software. The app is open source under the MIT license and the sync server under AGPL-3.0, and those licenses are what apply to the code. If you run your own server, these terms do not apply to it: you are the one who operates it.

The editor works without an account. Files you open from your disk stay on your device and never reach us.

2. Your account

3. Your content is yours

The notes and everything else you put in SharpMD belong to you. We claim no ownership of them.

To run the service we need a limited permission: to store your content, back it up, send it between your devices and show it to the people and tools you choose. That means the accounts you share a note with, anyone who has a public link you created, the visitors of a site you published, the guests of a live session you opened, the AI or service you connected with a token, and everyone in the case of a contribution to the community gallery once it is approved. The permission exists only to provide the service, and it ends when you delete the content or your account, apart from the time it may take for backups to be replaced.

Privacy lists what the server stores and for how long.

4. Protected folders

A folder protected with a password is encrypted in your browser before it is uploaded. We cannot read it, unless you unlock it for your own AI, and then only for the time you chose. If you lose both the password and the backup key, its notes cannot be recovered, by you or by us. There is no back door and no reset. The names of its notes and folders, their size and the date they changed stay visible to the server.

Where a team plan is available, the account that pays for the team manages it: invitations, members and seats. Administrators set the role of each member and the settings of the team space.

7. AI and other connections

SharpMD provides no AI of its own. You decide what to connect.

8. Automations and the API

Use them reasonably. Each token, automation and inbound address has request limits, which are in the API page, and we may slow down or pause one that overloads the service. A webhook that keeps failing is turned off, and the app shows it.

We do not guarantee that a notice reaches a destination run by someone else. A failed delivery is retried a few times and then dropped.

9. Availability and your own copies

We work to keep the service running, but we do not promise that it will always be available or free of errors. It can stop for maintenance or because something failed, on our side or on the side of a provider we depend on.

The database is backed up every day. Those backups are there to restore the service after a failure, not to recover one note you deleted: for that there are the trash and, on the paid plan, the version history. Keep a copy of what matters to you. A note is a Markdown file, you can save it to your disk from the app at any time, and on the paid plan the API reads all of them.

10. Changes to the service, and closing it

The service changes over time: features are added, changed and sometimes removed. If we remove a feature from a plan you pay for, or if we decide to close the service, we tell you by email at least 30 days before, and during that time you can take your notes out.

11. Suspension and closing of accounts

You can delete your account at any time from Settings, Cloud, "Delete account". If it pays a subscription, cancel it first.

We may suspend or close an account, or take down what it shared or published, when it breaks these terms or the Acceptable use rules, when the law requires it, or when it puts the service or other people at risk. We tell you why by email, unless the law does not let us or the account exists only to abuse the service. When we can, you get the chance to take your notes out first. That does not include content that is illegal to keep or to hand over.

12. No warranties

The service is provided as it is and as it is available. To the extent the law allows, we give no warranties beyond what these terms say, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

13. Limit of liability

To the extent the law allows, SharpMD is not liable for indirect or consequential damages, or for lost profits, lost data or lost business, that come from using the service or from not being able to use it. Our total liability for any claim about the service is limited to what you paid for it in the 12 months before the event that caused the claim.

Nothing in these terms limits the rights that the consumer law of your country does not allow to be limited, or a liability that the law does not allow to be excluded.

14. Law and courts

These terms are governed by the laws of Delaware, United States, and disputes go to the courts located there. If you are a consumer and the law of your country gives you the right to its protections and to its courts, these terms do not take that away.

15. Changes to these terms

When we change these terms we update the date at the top. If a change is important, we tell the accounts by email at least 30 days before it takes effect. If you keep using the service after that date, you accept the new terms. If you do not agree, you can cancel and delete your account. Earlier versions of this page are in the history of the public repository.

16. The rest

This page is written in English and in Spanish. If the two differ, the English version applies. If a court finds a part of these terms invalid, the rest still applies. These terms, with the Privacy, Refund policy, Acceptable use and Copyright pages, are the whole agreement between you and SharpMD about the service.

Términos del servicio

Estos términos son el acuerdo entre vos y SharpMD ("SharpMD", "nosotros"), operado por una sociedad constituida en Delaware, Estados Unidos. Al crear una cuenta o usar el servicio alojado los aceptás. Si no estás de acuerdo, no uses el servicio alojado.

1. Qué cubren estos términos

Cubren el servicio alojado: la cuenta de la nube y sus notas en sync.sharpmd.app, compartir, los enlaces públicos, las sesiones en vivo, la conexión para una IA (MCP), la API y las automatizaciones, la galería de la comunidad, los sitios publicados en pages.sharpmd.app y el sitio web sharpmd.app.

No cubren el software. La app es de código abierto con licencia MIT y el servidor de sincronización con AGPL-3.0, y esas licencias son las que valen para el código. Si usás tu propio servidor, estos términos no se le aplican: lo operás vos.

El editor funciona sin cuenta. Los archivos que abrís desde tu disco quedan en tu dispositivo y nunca nos llegan.

3. Tu contenido es tuyo

Las notas y todo lo demás que ponés en SharpMD son tuyos. No reclamamos ninguna propiedad sobre eso.

Para dar el servicio necesitamos un permiso acotado: guardar tu contenido, respaldarlo, llevarlo entre tus dispositivos y mostrárselo a las personas y herramientas que vos elijas. Es decir, las cuentas con las que compartís una nota, quien tenga un enlace público que creaste, quienes visitan un sitio que publicaste, los invitados de una sesión en vivo que abriste, la IA o el servicio que conectaste con un token, y todo el mundo en el caso de un aporte a la galería de la comunidad una vez aprobado. El permiso existe solo para dar el servicio, y termina cuando eliminás el contenido o tu cuenta, salvo el tiempo que tarden en reemplazarse los respaldos.

En Privacidad está qué guarda el servidor y por cuánto tiempo.

4. Carpetas protegidas

Una carpeta protegida con contraseña se cifra en tu navegador antes de subir. No la podemos leer, salvo que la desbloquees para tu propia IA, y entonces solo por el tiempo que elegiste. Si perdés la contraseña y también la clave de respaldo, sus notas no se pueden recuperar, ni vos ni nosotros. No hay puerta trasera ni forma de restablecerla. Los nombres de sus notas y carpetas, su tamaño y la fecha en que cambiaron siguen visibles para el servidor.

Donde haya un plan de equipo, la cuenta que paga el equipo lo administra: invitaciones, miembros y lugares. Quienes administran definen el papel de cada miembro y los ajustes del espacio del equipo.

7. IA y otras conexiones

SharpMD no da IA propia. Vos decidís qué conectar.

8. Automatizaciones y API

Usalas de forma razonable. Cada token, automatización y dirección de entrada tiene topes de pedidos, que están en la página de la API, y podemos frenar o pausar una que sobrecargue el servicio. Un webhook que falla una y otra vez se apaga, y la app lo muestra.

No garantizamos que un aviso llegue a un destino que opera otra persona. Una entrega fallida se reintenta algunas veces y después se descarta.

9. Disponibilidad y tus propias copias

Trabajamos para que el servicio esté andando, pero no prometemos que vaya a estar siempre disponible ni libre de errores. Puede detenerse por mantenimiento o porque algo falló, de nuestro lado o del lado de un proveedor del que dependemos.

La base se respalda todos los días. Esos respaldos están para restaurar el servicio después de una falla, no para recuperar una nota que eliminaste: para eso están la papelera y, en el plan pago, el historial de versiones. Guardá una copia de lo que te importa. Una nota es un archivo Markdown, la podés guardar en tu disco desde la app cuando quieras, y en el plan pago la API las lee todas.

10. Cambios en el servicio, y su cierre

El servicio cambia con el tiempo: se suman funciones, se modifican y a veces se quitan. Si quitamos una función de un plan que pagás, o si decidimos cerrar el servicio, te avisamos por correo al menos 30 días antes, y durante ese tiempo podés sacar tus notas.

11. Suspensión y cierre de cuentas

Podés eliminar tu cuenta cuando quieras desde Ajustes, Nube, "Eliminar la cuenta". Si paga una suscripción, primero cancelala.

Podemos suspender o cerrar una cuenta, o bajar lo que compartió o publicó, cuando incumple estos términos o las reglas de Uso aceptable, cuando la ley lo exige, o cuando pone en riesgo al servicio o a otras personas. Te decimos por qué por correo, salvo que la ley no nos deje o que la cuenta exista solo para abusar del servicio. Cuando se puede, antes tenés la posibilidad de sacar tus notas. Eso no incluye el contenido que es ilegal conservar o entregar.

12. Sin garantías

El servicio se ofrece como está y según esté disponible. En la medida en que la ley lo permite, no damos más garantías que las que dicen estos términos, incluidas las garantías implícitas de comerciabilidad, de aptitud para un fin determinado y de no infracción.

13. Límite de responsabilidad

En la medida en que la ley lo permite, SharpMD no responde por daños indirectos o consecuentes, ni por ganancias, datos o negocios perdidos, que surjan de usar el servicio o de no poder usarlo. Nuestra responsabilidad total por cualquier reclamo sobre el servicio se limita a lo que pagaste por él en los 12 meses anteriores al hecho que originó el reclamo.

Nada de estos términos limita los derechos que la ley del consumidor de tu país no permite limitar, ni una responsabilidad que la ley no permite excluir.

14. Ley y tribunales

Estos términos se rigen por las leyes de Delaware, Estados Unidos, y las disputas van a los tribunales ubicados ahí. Si sos consumidor y la ley de tu país te da derecho a sus protecciones y a sus tribunales, estos términos no te lo quitan.

15. Cambios en estos términos

Cuando cambiamos estos términos actualizamos la fecha de arriba. Si el cambio es importante, avisamos a las cuentas por correo al menos 30 días antes de que entre en vigencia. Si seguís usando el servicio después de esa fecha, aceptás los términos nuevos. Si no estás de acuerdo, podés cancelar y eliminar tu cuenta. Las versiones anteriores de esta página están en el historial del repositorio público.

16. Lo demás

Esta página está escrita en inglés y en español. Si hay diferencia entre las dos, vale la versión en inglés. Si un tribunal declara inválida una parte de estos términos, el resto sigue valiendo. Estos términos, junto con las páginas de Privacidad, Política de reembolsos, Uso aceptable y Derechos de autor, son todo el acuerdo entre vos y SharpMD sobre el servicio.
